1. Agreement to Terms

Welcome to PhysicianProsperity.com (the “Site”), operated by Physician Prosperity, LLC (“we,” “us,” or “our”). By accessing or using the Site, purchasing any product or service, or uploading any document, you (“you” or “User”) agree to be bound by these Terms of Use (“Terms”). If you do not agree to all of these Terms, do not use the Site.

We reserve the right to update these Terms at any time. Changes are effective when posted. Your continued use of the Site after any changes constitutes acceptance of those changes. We encourage you to review these Terms periodically.

2. Description of Services

Physician Prosperity offers educational resources and tools designed to help physicians understand, review, and evaluate employment contracts. Our primary service, Contract Guard MD™, is an AI-assisted contract analysis report that highlights key provisions, potential concerns, and questions to discuss with your attorney.

We may also offer blog content, email newsletters, webinars, group coaching programs, downloadable resources, and other educational products or services from time to time.

3. Not Legal Advice — No Attorney-Client Relationship

Physician Prosperity is not a law firm. No information, tool, report, or communication provided through the Site constitutes legal advice or creates an attorney-client relationship between you and Physician Prosperity or any of its owners, employees, or affiliates.

Contract Guard MD™ reports and all other content are provided for educational and informational purposes only. They are designed to help you ask better questions and have more productive conversations with a licensed attorney.

You should always retain a licensed attorney in the applicable jurisdiction to review your specific employment contract before signing. Any reliance on our reports, content, or tools without independent legal counsel is at your own risk.

If Physician Prosperity refers you to or mentions any law firm or attorney, any legal services would require a separate engagement letter directly with that firm. Physician Prosperity has no authority to bind any law firm or attorney.

4. Not Medical or Financial Advice

Our content may reference compensation benchmarks, benefits structures, RVUs, or other financial aspects of physician employment. This information is for educational purposes only and does not constitute medical, financial, tax, or accounting advice. We make no guarantees regarding outcomes. Consult qualified professionals for advice specific to your situation.

5. AI Use and Accuracy

Certain analyses, reports, and draft outputs provided through the Site—including Contract Guard MD™ reports—are generated in part using artificial intelligence and machine learning technologies. While we review and work to improve the quality of AI-generated outputs, we do not guarantee their accuracy, completeness, or suitability for any particular purpose.

You must independently verify all critical details and consult a qualified professional (such as a licensed attorney) before relying on or acting upon any AI-generated output. AI-generated content is not a substitute for professional judgment.

6. User Accounts and Eligibility

You must be at least 18 years of age and capable of entering into a binding contract to use the Site or purchase services. By using the Site, you represent and warrant that you meet these requirements.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use.

7. Document Uploads and User Content

When you upload a document (such as a physician employment contract) for analysis, you represent and warrant that you have the legal right to share that document with us for the purpose of receiving our services.

Ownership: You retain all ownership rights in documents you upload. By uploading a document, you grant us a limited, non-exclusive license to use, process, and analyze the document solely for the purpose of providing our contracted services to you.

Confidentiality: We treat uploaded documents as confidential. We will not share, publish, or distribute your uploaded documents except as necessary to provide you with our services, as required by law, or as described in our Privacy Policy.

No Protected Health Information (PHI): Please do not upload documents containing protected health information (PHI) as defined under HIPAA. We are not a HIPAA-covered entity and do not sign Business Associate Agreements. If you believe your document contains PHI, please redact it prior to uploading.

Retention: We retain uploaded documents only as long as necessary to deliver and support the services you purchased. See our Privacy Policy for details on data retention and deletion.

8. Purchases, Payment, and Refunds

Pricing: All prices are displayed in U.S. dollars and are subject to change without notice. Pricing at the time of your purchase governs your transaction.

Payment: Payment is due at the time of purchase. We accept the payment methods listed at checkout. You represent that you are authorized to use the payment method provided.

Refunds: If you are not satisfied with your purchase, you may request a full refund within seven (7) days of the date of purchase by contacting us at [INSERT EMAIL]. After the 7-day refund window has closed, all sales are final. We reserve the right to deny refund requests that we reasonably believe are abusive or fraudulent.

Future Subscriptions and Memberships: If we introduce subscription-based or membership products in the future, those products will include their own specific terms regarding billing cycles, auto-renewal, cancellation, and refunds. You will be asked to agree to those terms separately at the time of enrollment.

9. Intellectual Property

All content on the Site—including text, graphics, logos, images, templates, reports, tools, software, and other materials—is the property of Physician Prosperity or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent, except for your own personal, non-commercial use of purchased reports.

10. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Site, other users’ accounts, or our systems;
  • Interfere with or disrupt the operation of the Site;
  • Upload any content that is malicious, harmful, or infringes on the rights of others;
  • Use automated tools (bots, scrapers, etc.) to access the Site without our written permission;
  • Resell, sublicense, or redistribute any reports, tools, or content from the Site.

11. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services. We do not control and are not responsible for the content, practices, or availability of any third-party sites. Inclusion of a link does not imply endorsement. Your use of third-party services is at your own risk and subject to their own terms and policies.

12. Disclaimer of Warranties

THE SITE AND ALL SERVICES, CONTENT, REPORTS, AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of any content, including AI-generated analyses.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHYSICIAN PROSPERITY, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Physician Prosperity, its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any document or content you upload to the Site.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Volusia, Florida, and you consent to personal jurisdiction in those courts.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly referenced herein, constitute the entire agreement between you and Physician Prosperity regarding your use of the Site and supersede all prior agreements, understandings, and communications.
